Abstract

Company mergers often have legal implications for employment relationships, particularly the potential for termination of employment. This condition demands clear and fair legal protection for workers so that their rights are not neglected. The problems in this study focus on two main points: first, how is the legal protection of workers in the event of a company merger based on the provisions of Law Number 13 of 2003 concerning Manpower as amended by Law Number 6 of 2023, and second, what are the court's legal considerations in Decision Number 254/PHI.G/2011/PN.JKT.PST juncto Supreme Court Decision Number 466 K/Pdt.Sus/2012 juncto Decision Number 47 PK/Pdt.Sus-PHI/2014 in providing protection to workers due to a company merger. This research uses a normative legal research method with a statutory approach and a case approach. The data used consists of primary, secondary, and tertiary legal materials, which were analyzed qualitatively using Philipus M. Hadjon's theory of legal protection and Gustav Radbruch's theory of justice as the analytical framework. The research results indicate that legal protection for workers in the event of company mergers is normatively well-regulated, both preventively and repressively. However, in judicial practice, judges' legal considerations focus more on the aspect of legal certainty and the chronological formality of legal events, so substantive protection for workers has not been fully realized.

Additional Information: Penggabungan perusahaan sering kali menimbulkan implikasi yuridis terhadap hubungan kerja, khususnya berpotensi terjadinya pemutusan hubungan kerja. Kondisi tersebut menuntut adanya perlindungan hukum yang jelas dan adil bagi pekerja agar hak-haknya tidak terabaikan. Permasalahan dalam penelitian ini berfokus pada dua hal utama, yaitu: pertama, bagaimana perlindungan hukum pekerja dalam hal terjadinya penggabungan perusahaan berdasarkan ketentuan Undang-Undang Nomor 13 Tahun 2003 tentang Ketenagakerjaan sebagaimana telah diubah dengan Undang-Undang Nomor 6 Tahun 2023 dan kedua, bagaimana pertimbangan hukum pengadilan dalam Putusan Nomor 254/PHI.G/2011/PN.JKT.PST juncto Putusan Mahkamah Agung Nomor 466 K/Pdt.Sus/2012 juncto Putusan Nomor 47 PK/Pdt.Sus-PHI/2014 dalam memberikan perlindungan terhadap pekerja akibat penggabungan perusahaan. Penelitian ini menggunakan metode penelitian yuridis normatif dengan pendekatan peraturan perundang-undangan dan pendekatan kasus. Data yang digunakan berupa bahan hukum primer, sekunder, dan tersier yang dianalisis secara kualitatif dengan menggunakan teori perlindungan hukum Philipus M. Hadjon dan teori keadilan Gustav Radbruch sebagai pisau analisis. Hasil penelitian menunjukkan bahwa perlindungan hukum pekerja dalam hal penggabungan perusahaan secara normatif telah diatur baik secara preventif maupun represif. Namun, dalam praktik peradilan, pertimbangan hukum hakim lebih menitikberatkan pada aspek kepastian hukum dan formalitas kronologis peristiwa hukum, sehingga perlindungan substantif terhadap pekerja belum sepenuhnya terwujud.
