Abstract

Disputes in various business activities are actually something that is not expected to occur because it can result in losses ti the parties to the dispute, both those who’re in the right position or in the wrong position. Dismissal of Wwan Zulmawan as commissioner of PT. Banten Global Development through the mechanism od the Extraordinary General Meeting of Shareholders indicated the exstence of acts against the law. The research method used in the preparation of this thesis uses an empirival juridical method with the research approacj used is secondary data using a descriptive analysis approach, data collection techniques used by the author in this study is through library studies coupled with interviews. Analysis of data used is a qualitative approach. Plaintiff as commissioner pf PT Banten Global Development, which was illegally terminated by the defedants through an extraordinary general meeting of shareholders, but the Plaintiff was not presented at the extraordinary GMS according to the authors, the defedants had made a violation of the law. Legal remedies that can be taken by commissioner who’re dismissed through an ectraordinary GMS that are not in accordance with the rules can take the nonlitigation or litigation route, where if taking non-litigation is resolving issues outside the court whereas if taking litigation can file a lawsuit to the district court, high court even up to the court supreme court. Judge’s consderation in the supreme court’s decision NO.1950/PDT/2017 was groundless because the defendants didnot dispute the arguments that the plaintiff had conveyed in the absence of a rebuttal to the arguments of the cassation appellant, then the respondent cassation I and respondentcassation II admitted that they had commited an illegal act that violated the provisions of Article 119 juncto Article 105 paragraph (1) of law Number 50 of 1999 concerning Management of Regionally Owned Enterprises.

Pemberhentian wawan zulmawan selaku komisaris PT. Penjamin Daerah Banten melalui mekanisme Rapat Umum Pemegang Saham Luar biasa terindikasi adanya perbuatan melawan hukum. Metode penelitian yang digunakan dalam penyusunan skripsi ini menggunakan metode yuridis empiris dengan pendekatan penelitian yang digunakan adalah data sekunder dengan menggunakan pendekatan deskriptif analisis, teknik pengumpulan data yang dilakukan penulis dalam penelitian ini adalah melalui studi kepustakaan ditambah dengan wawancara. Analisis data yang dipergunakan adalah pendekatan kualitatif. Penggugat selaku komisaris PT. Banten Global Development yang diberhentikan secara tidak sah oleh para tergugat melalui rapat umum pemegang saham luar biasa akan tetapi Penggugat tidak dihadirkan dalam RUPS luar biasa tersebut menurut penulis para tergugat telah melakukan perbutana melawan hukum. Upaya hukum yang dapat ditempuh oleh komisaris yang diberhentikan melalui RUPS Luar biasa yang tidak sesui aturan dapat menempuh jalur nono litigasi atau jalur litigasi, dimana jika menempuh nonlitigasi adalah meneyelesaikan permasalahan diluar pengadilan sedangkan jika menempuh litiagasi dapat mengajukan gugatan ke pengadilan negeri, pengadila tinggi bahkan sampai mahkamah agung. Pertimbangan hakim pada putusan mahkamah agung No. 1950/pdt/2017 tidak beralasan karena para tergugat tidak membantah dalildalil yang telah penggugat sampaikan dengan tidak adanya bantahan atas dalildalil gugatan Pemohon Kasasi, maka Termohon Kasasi I dan Termohon Kasasi II mengakui telah melakukan perbuatan melawan hukum yaitu melanggar ketentuan Pasal 119 juncto Pasal 105 ayat (1) Undang Undang Nomor 40 Tahun 2007 tentang Perseroan Terbatas dan Pasal 26 Keputusan Menteri Dalam Negeri Nomor 50 Tahun 1999 tentang Kepengurusan Badan Usaha Milik Daerah.
