Abstract

The implementation of Good Corporate Governance (GCG) is very important in the scope of SOEs to protect shareholders, creditors, and restore consumer confidence. The claim default case by PT. Asuransi Jiwasraya was caused by GCG violations, including high-risk investments, and its implementation is still low. The BPK audit found violations of the Insurance Law, including non�compliance with GCG. Liquidity pressures in 2018 delayed claim payments, while in 2020, claim defaults reached Rp.16.1 trillion. This research explores the legal responsibility and legal protection by companies towards holders. The results showed that PT. Asuransi Jiwasraya involved a violation of the investment agreement which caused policyholders not to receive payments according to the insurance agreement, Jiwasraya violated the prohibition of slowing down claim payments (Law No. 40 of 2014 Article 31 paragraph (4)). OJK gave administrative sanctions related to the 2018 financial statements, without sanctions for default. Jiwasraya lacks GCG practices such as accountability, transparency, and responsibility. Legal protection can be preventive (regulation and restructuring) and repressive (criminal and civil law). Preventive legal protection includes regulations to provide legal certainty for customers. Violations in policy restructuring are contrary to POJK No. 73/POJK.05/2016 Article 2 paragraph (2) letters (a) and (e) regarding openness and equality. Repressive legal protection of policyholders can sue the company on the basis of default, but solutions through formal legal channels can harm customers and the government, while joint settlements can be a win-win solution for all parties.

Additional Information: Penerapan Good Corporate Governance (GCG) sangat penting dalam lingkup BUMN untuk melindungi pemegang saham, kreditur, dan memulihkan kepercayaan konsumen. Kasus gagal bayar klaim oleh PT. Asuransi Jiwasraya disebabkan pelanggaran GCG, termasuk investasi berisiko tinggi, dan implementasinya masih rendah. Audit BPK menemukan pelanggaran Undang�Undang Perasuransian, termasuk ketidakpatuhan terhadap GCG. Tekanan likuiditas pada 2018 menunda pembayaran klaim, sementara pada 2020, gagal bayar klaim mencapai Rp.16,1 triliun. Penelitian ini mengeksplorasi tanggungjawab hukum dan perlindungan hukum oleh perusahaan terhadap pemegang. Hasil penelitian, menunjukkan bahwa PT. Asuransi Jiwasraya melibatkan pelanggaran perjanjian investasi yang menyebabkan pemegang polis tidak menerima pembayaran sesuai perjanjian asuransi, Jiwasraya melanggar larangan memperlambat pembayaran klaim (UU No. 40 Tahun 2014 Pasal 31 ayat (4)). OJK memberi sanksi administratif terkait laporan keuangan 2018, tanpa sanksi atas gagal bayar. Jiwasraya kurang menerapkan GCG seperti akuntabilitas, transparansi, dan responsibilitas. Perlindungan hukum bisa bersifat preventif (regulasi dan restrukturisasi) dan represif (hukum pidana dan perdata). Perlindungan hukum preventif termasuk regulasi untuk memberikan kepastian hukum bagi nasabah. Pelanggaran dalam restrukturisasi polis bertentangan dengan POJK No. 73/POJK.05/2016 Pasal 2 ayat (2) huruf (a) dan (e) mengenai keterbukaan dan kesetaraan. Perlindungan hukum represif pemegang polis dapat menggugat perusahaan atas dasar wanprestasi, namun solusi melalui jalur hukum formal dapat merugikan nasabah dan pemerintah, sementara penyelesaian bersama dapat menjadi win-win solution bagi semua pihak.
